Terms of Service
Last updated: Draft, not yet in force
1. Agreement
These Terms of Service (“Terms”) are a contract between you and House of Fofanah LLC (“we”, “us”), the company that operates sideby, for your use of sideby at joinsidebyside.com and any related apps and features (the “Service”). By creating an account or using the Service you accept these Terms and our Privacy Policy. If you do not accept them, do not use the Service.
2. Who may use the Service
You must be at least 16 years old and able to enter a binding contract. If you use the Service for an organization, you confirm you may accept these Terms for it. You may not use the Service if the law or a previous suspension prohibits it.
3. Your account
During the beta you join by invitation and sign in with an email address, through our sign-in provider Clerk (sign-in with Google may be added later). Give accurate information and keep your sign-in secure. You are responsible for activity under your account. Tell us at once if you think someone else has accessed it. One person should use one account.
4. What sideby is, and the beta
sideby lets you plan your own tasks and join or host challenges, groups and chats with other people, with notifications, highlights, a community forum and a roadmap. It is a beta. Features may change, be limited or removed, and the Service may have errors or be unavailable. The Service is currently free. We may add paid features or plans, or change features and prices, at any time. We will give reasonable notice of changes that affect you, we will not charge you for anything unless you agree to the charge, and we will ask for your consent where the law requires it. Access is currently by invitation. The optional “Support sideby” link leads to Buy Me a Coffee. It is a voluntary contribution and does not unlock features.
5. Your content
“Your content” means what you submit to the Service, such as tasks, messages, posts, highlights, forum entries, challenge details and profile information.
- You own your content. We do not claim ownership of it.
- Licence to us. You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, display, transmit and process your content only as needed to operate, secure and improve the Service and to show it to the people you chose to share it with (for example the other members of a challenge). The licence ends when your content is deleted, except for backups kept for a limited time and content that other members have copied or that is needed to keep a shared challenge understandable.
- Your responsibility. You confirm you have the right to post your content and that it follows these Terms and the law.
- Other members’ content. Content posted by others is theirs. We do not review everything and do not endorse it.
- Feedback. If you send ideas or suggestions about the Service, we may use them without owing you anything.
6. Acceptable use
When you use the Service you agree not to:
- harass, threaten, bully, discriminate against or abuse anyone;
- post content that is illegal, hateful, sexually explicit, violent, or that infringes someone else’s rights or privacy;
- share another person’s private information without permission;
- post spam, advertising, scams or misleading content, or impersonate another person or organization;
- try to access accounts or data that are not yours, probe or test the security of the Service, or overload or interfere with it;
- use automated tools to create accounts, scrape the Service or send messages in bulk;
- post a live-session link to a service other than the ones the app allows, or a link that is harmful or misleading; or
- use the Service for anything illegal, or help anyone else do any of these.
7. Challenges, groups and messaging
- Challenges and groups are created and run by members. Hosts decide who joins their challenge and may remove posts and participants within it. A host can ask a member to take over, and the member must accept. If a challenge or group has no host, members who have been in for at least 3 days and have committed a task may volunteer, and others like them can object within 24 hours; nobody becomes host without agreeing. We do not control or verify what members say or do, and we are not responsible for how members treat each other or for any commitments between them.
- Messages in groups and challenge chats are visible to the members of that group or challenge. They are not secret from those members, and any member can copy or share what you write. Do not share sensitive information in chats.
- After a challenge ends, its chat becomes read-only, and 30 days later it is no longer accessible in the Service and its text is erased.
- Live-session links (for example Zoom or Google Meet) open services we do not run, under their own terms.
- sideby is a productivity tool. It does not give medical, mental-health, legal, financial or professional advice, and challenge results are not a guarantee of outcomes.
8. Notifications
The Service shows notifications in the app. If you turn on push notifications, we send them to your browser or device until you turn them off in your settings or your browser. Standard data and message rates from your carrier may apply.
9. Reporting and moderation
You can report posts and forum entries from within the Service. Administrators and challenge hosts may remove content that breaks these Terms or that we reasonably believe is harmful, and may warn, suspend or end the access of accounts that break them. Where practical we will say why. If you think a decision was a mistake, email admin@houseoffofanah.com and we will review it. A suspended person cannot use the Service or join challenges until the suspension is lifted.
10. Ending your use and deleting your account
You can stop using the Service at any time. You can delete your account yourself under Profile, “Delete account”, or ask us to by emailing admin@houseoffofanah.com. What is deleted, erased or kept (your points in finished challenges stay, without your name) and when is described in the Privacy Policy. If you host a challenge or group, you can ask members to take over (they must accept), cancel it, or leave it running without a host, as the Privacy Policy describes. Nobody becomes a host or owner without agreeing, and members are told when a challenge is canceled or has no host.
We may suspend or end your access immediately if you break these Terms, if we must by law, to protect members or the Service, or if we end the Service, in which case we will try to give reasonable notice. When your account ends your right to use the Service ends; sections that by their nature should continue (such as content licence limits, intellectual property, disclaimers, liability and disputes) continue.
11. Our intellectual property
The Service, including the sideby name, logo, design, text, graphics and software, belongs to us and our licensors and is protected by law. We give you a personal, limited, non-exclusive, non-transferable, revocable right to use the Service as intended under these Terms. You may not copy, modify, sell, reverse engineer or build a competing service from it, except where the law allows. Open-source components keep their own licences. If you believe something on the Service infringes your copyright, email admin@houseoffofanah.com with what it is, where it is, and why you believe it is yours; we will review it and may remove it.
12. Third-party services
The Service relies on or links to third parties, including Clerk, Google, Neon, Vercel, Ably, browser push services, Buy Me a Coffee and video-meeting services. We are not responsible for them, and their own terms and policies apply when you use them.
13. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, to the fullest extent the law allows. We do not promise that the Service will be uninterrupted, error-free, secure, or that data will never be lost, or that it will meet your needs. You are responsible for keeping your own copy of anything important.
14. Limitation of liability
To the fullest extent the law allows, we and our owners, officers and providers are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of US$100 or the amount you paid us in the 12 months before the claim (currently nothing, because the Service is free). Some places do not allow these limits, so they apply only as far as the law allows. Nothing in these Terms limits liability that cannot be limited by law.
15. Disputes and governing law
If you have a problem, please contact us first at admin@houseoffofanah.com and we will try to resolve it in good faith. These Terms are governed by the laws of the State of Florida, and disputes will be heard in the state or federal courts located there, unless the law of your place of residence gives you rights that cannot be waived.
16. Changes to the Service and the Terms
We may update these Terms and may change, add or remove features and pricing. If a change is significant we will tell you in the app before it takes effect. If you keep using the Service after the effective date, you accept the new Terms; if you do not, stop using it and ask us to delete your account. The date at the top shows when they were last updated.
17. General
If any part of these Terms is found unenforceable, the rest stays in force. If we do not enforce a right, we have not given it up. You may not transfer your rights under these Terms; we may transfer ours as part of a sale or reorganization. These Terms and the Privacy Policy are the whole agreement between you and us about the Service.
